⚠ Important: These Terms constitute a Business-to-Business (B2B) contract. A strict no-refund policy applies to all purchases and services once payment has been received.
1. Agreement & Parties
These Terms and Conditions ("Terms") constitute a legally binding Business-to-Business (B2B) contract between ADM Advanced Digital Media (Barrow) Ltd, Company Number 13928992, registered at 12/14 Forge Close, Barrow-in-Furness, Cumbria, LA14 2UF ("ADM Group", "we", "us") and the purchasing business entity ("Client", "you"). By placing an order, submitting a bid, making a payment, or engaging our services, you confirm that you are acting in a business capacity and agree to be bound by these Terms in full. These Terms supersede any prior agreements, representations, or understandings between the parties.
2. No Refund Policy
As this is a Business-to-Business contract, and in accordance with applicable UK consumer regulations which do not apply to business purchasers, ADM Group operates a strict no-refund policy. Once payment has been received and confirmed, no refunds will be issued under any circumstances. This applies to: • Domain name purchases and auction wins • Domain brokerage and transfer fees • Web design and development services • SEO, social media, and digital marketing services • Logo and brand design services • Any other products or services supplied by ADM Group Domains are live market assets whose value can fluctuate in real time. Upon completion of a transaction, full ownership risk transfers to the Client. ADM Group cannot be held liable for any change in domain value, availability, or market conditions following the completion of a sale.
3. Domain Auction Terms
3.1 All bids placed on the ADM Group auction platform constitute a legally binding offer to purchase the domain at the stated price. 3.2 The highest bid at auction close constitutes a binding contract of sale. The winning bidder is obligated to complete payment within 48 hours of auction close. 3.3 Failure to complete payment within the stated timeframe may result in the domain being re-listed and the bidder being prohibited from future participation on the platform. 3.4 ADM Group reserves the right to withdraw any domain from auction at any time prior to auction close without liability. 3.5 All domain prices are stated in GBP (£) and are exclusive of VAT unless otherwise stated. VAT will be applied where applicable at the prevailing rate. 3.6 Domain transfers will be initiated within 5 business days of cleared payment being received. Transfer timescales may vary depending on the registrar and TLD involved.
4. Digital Marketing & Design Services
4.1 All service agreements are subject to a separate Statement of Work or service proposal agreed in writing between ADM Group and the Client. 4.2 Payment terms are as specified in the relevant invoice. ADM Group reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. 4.3 Ownership of deliverables (e.g. website files, logo files) transfers to the Client only upon receipt of full and final payment. 4.4 ADM Group retains the right to display completed work in its portfolio unless otherwise agreed in writing. 4.5 The Client is responsible for providing accurate and timely content, approvals, and feedback. Delays caused by the Client may affect delivery timescales and ADM Group shall not be liable for such delays.
5. Payments
5.1 All payments are processed securely via Worldpay. By making a payment, you agree to Worldpay's terms and conditions. 5.2 Card payments are accepted via Visa and Mastercard. Payment must be made in full prior to the commencement of services unless otherwise agreed in writing. 5.3 ADM Group reserves the right to pursue any outstanding debt through appropriate legal channels, including the instruction of a debt recovery agency. Any costs associated with such recovery shall be borne by the Client.
6. Intellectual Property
6.1 All intellectual property created by ADM Group remains the property of ADM Group until full payment has been received. 6.2 The Client warrants that any materials, images, text, or other content provided to ADM Group for use in any deliverable do not infringe the intellectual property rights of any third party. The Client shall indemnify ADM Group against any claims arising from such infringement.
7. Limitation of Liability
7.1 ADM Group's total liability to the Client in respect of any claim arising out of or in connection with these Terms shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. 7.2 ADM Group shall not be liable for any indirect, consequential, special, or incidental loss or damage, including but not limited to loss of profit, loss of revenue, loss of data, or loss of anticipated savings. 7.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship and not to disclose such information to any third party without prior written consent, except as required by law.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
ADM Group reserves the right to update these Terms at any time. The current version will always be published on this page. Continued use of our services or platform following any changes constitutes acceptance of the updated Terms.
